Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Katharos Technologies, Inc. ("Katharos," "we," "us," or "our") governing your access to and use of the Katharos platform, website, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
1. Description of Service
1.1 What Katharos Does
Katharos is an AI-powered compliance screening and investigation platform that helps users conduct:
- Sanctions screening (OFAC, EU, UN, UK, and other lists)
- Know Your Customer (KYC) due diligence
- Anti-Money Laundering (AML) research
- Politically Exposed Person (PEP) identification
- Adverse media screening
- Beneficial ownership analysis
- Risk assessment and reporting
1.2 How It Works
The Service aggregates data from 30+ global sources, including sanctions lists, corporate registries, news outlets, and public records. The Service uses artificial intelligence (Claude, developed by Anthropic) to analyze data, assess risk, and generate reports.
1.3 What Katharos Is NOT
THE SERVICE DOES NOT PROVIDE LEGAL ADVICE. Katharos is a research and screening tool. Outputs generated by the Service, including risk assessments and reports, are informational only and should not be construed as legal advice or a legal opinion.
You are solely responsible for:
- Verifying the accuracy of information before relying on it
- Making compliance decisions based on your own judgment and applicable law
- Consulting with qualified legal counsel as needed
- Ensuring your use of screening results complies with all applicable laws
2. Eligibility and Account Registration
2.1 Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Service under applicable law
- Not be located in, or a resident of, a comprehensively sanctioned jurisdiction (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine)
2.2 Account Registration
To access certain features, you must create an account by providing your email address. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
2.3 Workspace and Roles
Accounts are organized by email domain into workspaces. The first user from a domain is designated as the workspace administrator. Administrators may assign roles (admin, analyst, reviewer, viewer) to other users in their workspace.
3. Acceptable Use
3.1 Permitted Uses
You may use the Service for lawful compliance, due diligence, investigation, and research purposes, including:
- Screening customers, counterparties, and business partners
- Conducting investigations and due diligence
- Generating compliance reports
- Researching entities and individuals for legitimate business purposes
3.2 Prohibited Uses
You agree NOT to use the Service to:
Illegal Activities
- Violate any applicable law, regulation, or third-party rights
- Evade, circumvent, or facilitate evasion of sanctions or export controls
- Launder money or facilitate money laundering
- Finance terrorism or facilitate terrorist activities
- Engage in fraud, identity theft, or other criminal activities
Harmful Activities
- Stalk, harass, or harm any individual
- Discriminate against any individual or group in violation of law
- Conduct screening for purposes unrelated to legitimate compliance or business needs
- Screen individuals for personal, non-business purposes without their consent
Security Violations
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers
- Transmit viruses, malware, or other harmful code
- Reverse engineer, decompile, or disassemble any part of the Service
- Circumvent any security or access controls
Abuse of Service
- Use automated means (bots, scrapers) to access the Service without authorization
- Resell, sublicense, or redistribute the Service without our consent
- Use the Service in a manner that exceeds reasonable use or burdens our infrastructure
- Misrepresent your identity or affiliation
3.3 Compliance with Law
You are solely responsible for ensuring your use of the Service complies with all applicable laws, including:
- Sanctions laws and regulations (OFAC, EU, UN, etc.)
- Anti-money laundering laws (BSA, AML directives)
- Data protection laws (GDPR, CCPA, etc.)
- Fair Credit Reporting Act (FCRA) if applicable
- Export control laws
FCRA Notice: Katharos is not a consumer reporting agency and the Service does not constitute a consumer report under the Fair Credit Reporting Act (FCRA). You may not use the Service to make decisions about consumer credit, employment, insurance, tenant screening, or any other purpose regulated by the FCRA.
4. Intellectual Property
4.1 Katharos Intellectual Property
The Service, including its software, design, features, and content (excluding User Content), is owned by Katharos and protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.
You may not:
- Copy, modify, or create derivative works of the Service
- Sell, resell, license, or sublicense the Service
- Use Katharos trademarks without written permission
4.2 User Content
"User Content" means any data, documents, or information you upload, submit, or create through the Service, including entity names, queries, uploaded documents, and case notes.
You retain ownership of your User Content. By submitting User Content, you grant Katharos a limited license to use, process, and store your User Content solely to provide and improve the Service.
4.3 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use the Feedback for any purpose without compensation or attribution.
5. Third-Party Services and Data
5.1 Third-Party Data Sources
The Service queries third-party data sources (sanctions lists, corporate registries, news sources, etc.) to provide screening results. We do not control these sources and are not responsible for their accuracy, completeness, or availability.
Third-party data is provided "as is." You acknowledge that:
- Data may be incomplete, outdated, or inaccurate
- Sources may become unavailable without notice
- You are responsible for verifying information before relying on it
5.2 AI Services
The Service uses Claude, an AI assistant developed by Anthropic, to analyze data and generate outputs. You acknowledge that:
- AI-generated outputs may contain errors
- AI analysis is not a substitute for human judgment
- You are responsible for reviewing AI outputs before use
5.3 Links to Third-Party Websites
The Service may contain links to third-party websites or resources. We are not responsible for the content, products, or services offered by third parties.
6. Fees and Payment
6.1 Pricing
Access to certain features of the Service may require payment. Current pricing is available at https://katharos.co/pricing or upon request.
6.2 Payment Processing
Payments are processed by Stripe. By making a payment, you agree to Stripe's terms of service at https://stripe.com/legal.
6.3 Refunds
Fees are generally non-refundable. We may, at our discretion, provide refunds or credits in certain circumstances.
6.4 Taxes
You are responsible for any applicable taxes. If we are required to collect taxes, they will be added to your invoice.
7. Confidentiality
7.1 Your Confidential Information
We treat your User Content, account information, and screening activities as confidential. We will not disclose your confidential information to third parties except:
- To provide the Service (including to our service providers)
- With your consent
- As required by law or legal process
- To protect our rights or safety, or the rights or safety of others
7.2 Our Confidential Information
Any non-public information about the Service, including technical specifications, business practices, and pricing, is our confidential information. You agree not to disclose our confidential information without our written consent.
7.3 Exceptions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available without breach of these Terms
- Was rightfully known to you before disclosure
- Is independently developed by you without use of confidential information
- Is rightfully received from a third party without restriction
8. Data Protection and Privacy
Your use of the Service is subject to our Privacy Policy at https://katharos.co/privacy, which is incorporated into these Terms by reference.

9. Disclaimers
9.1 "As Is" Basis
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2 No Guarantee of Accuracy
WE DO NOT WARRANT THAT:
- The Service will meet your requirements
- The Service will be uninterrupted, timely, secure, or error-free
- Results obtained from the Service will be accurate or reliable
- Any errors in the Service will be corrected
9.3 Third-Party Data
WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY THIRD-PARTY DATA, INCLUDING SANCTIONS LISTS, CORPORATE RECORDS, NEWS SOURCES, OR OTHER DATA SOURCES.
9.4 AI Limitations
AI-GENERATED OUTPUTS MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING AI OUTPUTS BEFORE RELYING ON THEM FOR ANY PURPOSE.
9.5 No Legal Advice
THE SERVICE DOES NOT PROVIDE LEGAL ADVICE. NOTHING IN THE SERVICE CONSTITUTES A LEGAL OPINION OR RECOMMENDATION. YOU SHOULD CONSULT WITH QUALIFIED LEGAL COUNSEL FOR ADVICE ON COMPLIANCE MATTERS.
10. Limitation of Liability
10.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KATHAROS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business
- Loss of data or data breach
- Loss of goodwill or reputation
- Cost of substitute services
- Regulatory fines or penalties
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- The amounts paid by you to Katharos in the twelve (12) months preceding the claim, or
- One hundred U.S. dollars ($100)
10.3 Basis of the Bargain
The disclaimers and limitations in Sections 9 and 10 are fundamental elements of the basis of the bargain between you and Katharos. We would not provide the Service without these limitations.
10.4 Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Katharos and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Your User Content
- Any decision or action taken based on information obtained through the Service
12. Term and Termination
12.1 Term
These Terms are effective when you first access the Service and remain in effect until terminated.
12.2 Termination by You
You may terminate your account at any time by contacting us at patrick@katharos.co or using the account deletion feature (if available).
12.3 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if:
- You breach these Terms
- We are required to do so by law
- We discontinue the Service
12.4 Effect of Termination
Upon termination:
- Your right to access the Service immediately ceases
- We may delete your account and User Content (subject to our data retention policies)
- Provisions that by their nature should survive termination will survive, including Sections 4, 7, 9, 10, 11, 13, and 14
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
13.2 Informal Resolution
Before filing a formal dispute, you agree to contact us at patrick@katharos.co and attempt to resolve the dispute informally for at least thirty (30) days.
13.3 Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English, and the seat of arbitration will be Wilmington, Delaware.
YOU AND KATHAROS AGREE TO WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
13.4 Exceptions
The following disputes are not subject to arbitration:
- Claims for injunctive or equitable relief
- Disputes relating to intellectual property rights
- Small claims court matters (if eligible)
13.5 Opt-Out
You may opt out of the arbitration provision by sending written notice to patrick@katharos.co within thirty (30) days of first accepting these Terms.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Katharos regarding the Service.
14.2 Amendments
We may modify these Terms at any time. Material changes will be communicated by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance.
14.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
14.4 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
14.5 Assignment
You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms without restriction.
14.6 Notices
We may provide notices to you by email or by posting on the Service. You may provide notices to us at patrick@katharos.co.
14.7 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet outages.
14.8 Independent Contractors
The relationship between you and Katharos is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
